Proofpoint, a cybersecurity firm backed by private‑equity group Thoma Bravo, agreed to buy data‑security company Varonis Systems for about $6.3 billion in cash. The deal represents a 52 percent premium over Varonis’ last share price. Varonis was founded in 2005 by Yaki Faitelson and Ohad Korkus and has built software that maps where sensitive files sit and who can access them. More than 80 of the Fortune 100 companies already use Proofpoint, according to the company.

Combining email and data protection

Proofpoint protects employees from phishing and other email threats, while Varonis focuses on data visibility and access control. Both firms say that securing data is the central challenge of the AI era. The combined platform will serve 3.4 million customers worldwide and will use AI models to detect risks faster, helping organizations adopt and secure AI tools.

Varonis’ board approved the transaction unanimously. The deal is expected to close in the first half of 2027 once shareholders and regulators sign off. After the close, Proofpoint plans to integrate Varonis’ products and sales teams quickly, and the combined company will serve more than 16,000 enterprises.
