Proofpoint announced it will buy Varonis for $6.3 billion in cash, giving Varonis shareholders $49.75 per share—a 52 % premium over the June 22 closing price of $32.71. The transaction, expected to close in the first half of 2027, will see Varonis delist from Nasdaq and become a private company. Thoma Bravo, which owns Proofpoint, is providing equity financing and secured debt commitments, while Ontario Teachers’ Pension Plan also invested as part of the deal.
Varonis offers a SaaS data‑security platform that locates and classifies sensitive files across cloud, SaaS and on‑premises systems, maps who can access them, and monitors how the data is used—including AI workloads. Proofpoint’s own portfolio includes email security, data‑loss prevention and AI‑security tools that control employee and AI‑agent use of generative AI. After the acquisition, the two companies plan to merge their capabilities into a single platform that protects against AI‑driven threats and data risks, aiming to serve more than 16 000 enterprises.
