Agilent announced on Tuesday that it will acquire Proscia, a digital pathology software company, for $240 million in cash and up to $30 million in milestone payments. The purchase will give Agilent ownership of software that links slide scanners, laboratory information systems and other parts of the pathology workflow. The deal follows Roche’s purchase of PathAI for up to $1.05 billion, showing a growing interest in digital pathology among large life‑science firms.

Proscia’s technology connects slide scanners, laboratory information systems and other components of the pathology workflow, enabling integrated data capture and analysis. The transaction includes $240 million upfront and additional payments tied to performance milestones.

Proscia serves more than 4,000 laboratories, hospitals and clinics in the U.S. and Europe, and supplies 16 of the top 20 pharmaceutical companies. Its revenues exceeded $18 million in the last 12 months, and the company’s growth rate is over 20 percent. Evercore analysts say the acquisition will create channel synergies that could accelerate Proscia’s expansion while keeping its healthy software margins.

Agilent CEO Padraig McDonnell said the acquisition will establish a platform for scientific intelligence in tissue‑based precision medicine, linking data generation with AI‑based interpretation. The company also plans to cross‑sell Proscia’s software to its existing Dako customers. Agilent expects the deal to close early in fiscal 2027, which begins on November 1.
